Default Should I upgrade?

Current setup
motherboard - Intel D845GEBV2
cpu - Pentium 4 1.8GHz
memory - 256 PC2100 DDR
power supply - AGI 300 W
Hard drive - 40 Gig (bearings going bad)
video card - ATI All in wonder 9600 XT 128mb ddr

Proposed setup
keep the motherboard
cpu - Pentium 4 2.8GHz 533 mhz
memory - OCZ Platinum 2GHz PC3200 DDR
keep the power supply
hard drive - Maxtor Diamond MAX 250Gig 16mb cache
keep the video card

I want to get into 3d CAD a little bit on this computer. Only pulling up a couple of parts at a time. The hard drive needs to be replaced so I was thinking why not set it up to be a tv recorder (tivo style) with a larger hard drive. Does it seem stupid to max out this motherboard with 2 gig of memory and a 2.8 gig processor? Or would I be better going with something different and more upgradable? Different motherboard, different processor, sata drive, just seems that would cost a lot more.
