Default Help With Shutting Down My Laptop- Takes Too Long

Would appreciate anyones suggestions as for some reason my Toshiba Tecra A8
Core 2 Duo XP O/S, for some reason is now taking about 5 minutes to shut down
whereas it use to be real fast. Boot up time is still fast but I have no idea what's causing this to be so slow shutting down. I don't have any viruses, defrag every week as well as check for spyware & adware & nada. Chk dsc revealed nothing either. What do I do? Punt?

Is it fairly new? Within the last couple of months? because it might just be installing loads of new updates. I know every time i reformat i have to go through this process for about a week.

Do a CTRL/ALT/DELETE and look in the lower left-hand corner of the Task Manager. How many processes are listed? Ideal for average Home-user is 40-ish.
