Default will i notice a difference

i currently have a Athlon 64 3800+ and am going to upgrade to a Intel E2180, so with games and things will i notice a difference, the e2180 will be overcocked too rather than stock

Very much! But remember, motherboard and RAM will bottleneck overclocking... so choose wisely.

What motherboard? P31/P35/X38/X48/780i are great motherboards. G31 and G33 for budget users. However, the P31 series IMO are the best bang for the buck.
