Default replace motherboard or upgrade everything?

Ok, so I figured out my motherboard went bad. (case fan died after being on 4 years straight and I have a passive heatsink on the northbridge) seriously, my computer’s silent and I’m lazy so I just never turn it off.

So here are my current computer specs:

MSI K8n neo4-f motherboard (dead)
http://www.newegg.com/product/produc...82e16813130491
AMD athalon 64 3000+ processor
2x512 pc3200 ram
Nvidia gforce 6600gt pci-e video card (don’t plan on replacing yet)

So I find myself in a dilemma, should I just replace the motherboard, or is this a good time to upgrade?

I could either just replace the motherboard with this http://www.newegg.com/Product/Produc...82E16813135088 for $38

Or I could upgrade to this

GIGABYTE GA-MA770-DS3 AM2+/AM2 AMD 770 ATX All Solid Capacitor AMD Motherboard
http://www.newegg.com/product/produc...82E16813128081

G.SKILL 2GB (2 x 1GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400)
http://www.newegg.com/product/produc...82E16819103194

AMD Athlon 64 X2 5000+ Brisbane 2.6GHz 2 x 512KB L2 Cache Socket AM2 65W Dual-Core Black Edition Processor
http://www.newegg.com/product/produc...82E16820231098

all for $230

I do use my computer a lot but don’t really game that much anymore. Well I guess I sometimes go on binges. So do you guys think that the difference in performance would be worth the money?

If you just use the PC for stuffing web, Just play $38 for a Mobo.

Or if you plan a new Mobo and CPU, You'd better off to Intel.
E7200 + GIGABYTE GA-EP35-DS3L + Consair/Crucial Ballistix Tracer 2x1GB DDR2 800 (CL4)

You may want to look at the Athlon X2 4600+ (2.4 gigahertz) over the Athlon X2 5000+ (2.6 gigahertz) as it is $22 less in price. Both processors have the same amount of Level 2 cache.
