Difference Between OEM & Retail XP

I am wanting to know what the differences between the OEM versions of Win. XP PRO SP2 (or any of the O.S.es for that matter) and the Retail versions are, other than the obvious price diff.

One comes in a shiny box with a nice package and the other doesn't?

I bought XP Home OEM and it came with everything i needed.
