hmmm...
Though I'm in Linux at the present, I pulled upen regedit.exe in WINE and tried to simulate a Windows reboot, and regedit didn't close. It's obvious that Microsoft purposely made it so Windows couldn't shut down if regedit.exe is running.
Open AUTOEXEC.BAT in Notepad (it's a hidden file in your C:\ drive) and check for anything with regedit.exe in it. If you find it, post it here and I'll tell you if it's safe to delete it.
