Do I need to upgrade the Motherboard or can I just upgrade the CPU?
While you can get away with just the CPU or motherboard its best if you do both. Also note that upgrading the mobo will most likely require you upgrade the RAM too.

I would like to upgrade to a Intel® P4 3.2GHz E (800FSB) Box CPU With Motherboard or similar
1. What do you mean by "With motherboard"?
2. What do you mean by "With motherboard or similar?"
3. Decent platform there, if you're considering the Prescott processor, you might be wanting to get a Socket775 setup as the Socket478 Prescotts are a bad thing really.

are available for approx. $200 incl. motherboard.
With what motherboard? A good (or lack of) motherboard will make or break a system
