They are completly difference, the only thing similar about the two is that they both have 940 pin sockets.

Socket 940 CPU's are Opteron's, which only work in a socket 940 server motherboard.

Socket AM2 are AMD's current new CPU's, which are used by the Semprons, Athlon 64's, X2's, and FX's. And they are only able to be used in desktop AM2 motherboards.
