OEM is a release for system builders without the retail carton and the larger paperback book that comes along with it. A smaller booklet is still found inside the plastic disk case. Generally they are intended for use on the system(custom built) you have made for you or for home builders. The versions are otherwise identical to retail without the higher price.

OEM and System Builders are not the same thing, you can have a plain OEM and just the plain Systems Builders or a OEM Systems builder. OEM is no support without Retail package. System builders edition is tied to the computer that its installed on. A OEM System builder edition is no support without retail package and tied to the computer its installed on, but you can have one or the other, but just because its a Systems Builders Edition does not mean its OEM or the other way around.

Was that a free upgrade offered on a new system or through a school? The retail for the 32bit version of Ultimate was some $399US.
