What is the difference between vista and vista oem?

That depends on the OEM release as well as the lack of the larger paperback book that comes along with the fancy carton for the extra price seen on retail. The OEM disks seen with prebuilt systems are stuck to that machine alone while other disks sold for home builders come with just the plastic case and a small booklet. You will the same two items there along with the larger book inside the retail package. Gee? $400 for Ultimate in a fancy box or what $199 OEM? I'll take the OEM thank you!

why spend extra for a box? If thats all that you get with retail then why spend the extra 200?

I used a Windows 2000 OEM installation once and it had almost nothing as far as software goes.

Windows OEM and Retail 2000 disk installs the same, it doesnt come with extra software

Windows is still going to be Windows! The only possible differences are seen between full and upgrade versions or those seen between Ultimate, Home Premium, Business, Basic for Vista, Home or Pro for XP, and the 32 or 64bit versions of either. The fancy carton and large paperback along with it sitting on a shelf in a what? "retail store" is what commands the higher price there. You pay for the store's overhead as well as the carton and book. thrills!
