Default Question about cache vs. cpu speed

I am about to purchase two CPUs, but I'm undecided on which two I should buy. I am going to get Xeons, but the two processors I am looking at are the same price, except one runs at 2.8Ghz with a 512k L2 Cache, and the other runs at 2.4Ghz with a 512k L2 and 1MB L3.

In this case, would the trade off for a larger cache be worth the decrease in speed?

One more quick question -
A friend of mine told me that FSB of a processor and motherboard don't have to match for it to work... is that correct?

Yes that is technically correct although generally speaking you'll want them to match up
