Compy specs:
Intel Pentium 4 2.8GHz (OC'd to 3.10GHz)
43 CFM copper cooler
1x 256MB PC3200 DELL Ram (no cooler)
1x A Data 512MB stick (with cooler)
Seagate 120GB HDD w/ 30CFM cooler
PC Chips socket 478 motherboard
AGP Geforce4 MX440 64MB Video card (overclocked 25-30MHz core+memory)
600watt 24pin psu (cheap ones... frogto manufacturer)

It plays Halo Demo : Combat Evolved well, but when playing NFS Underground 2 Demo, it will start to lag, I have it on max settings at 1280x800 at max settings. It works like a charm. but at time when just plain racing around, it will start to lag, for example, going at 80MPH, is will slow down, regular, slow down, regular. I have no idea why it does this... any ideas?

The rig above plays NFS Underground (at 1/4-1/2 detail increase, 1024x768) no lags
Plays Halo perfect....
