No, updating (flashing) the BIOS is not difficult. You'll receive specific instructions in the mobo manual. There's several ways to do it. I doubt that you'll run into any problems with regard to the BIOS when installing the processor.

Go with the XMS2. You can run that RAM at 4-4-4-12. In fact, I ran mine at 4-4-4-4 2T. You'll save a lot of money in the long run with the rebate, not to mention it's probably better than the GSkill.
