No overclocking - Yes

Overclocking - No (only difference is the multiplier they both hit about the same speeds.

Oh by the way just wondering but is the fan/heatsink that comes with the cpu any good? or should I just go Oem and get a better one?

True, although you can usually get a good 25-30% increase out of the C2Ds without increasing VCore (that's what i'm classifying as a 'mild' overclock).

Ya those things are pretty crazy, however a lot of people have temp issues because of concavity on their IHS so they don't get very good contact between the cpu and the heatsink. Anyway...

I don't know. If the $36 means compromising on the motherboard, or other important components like the memory or graphics card, I would get it. However, if you have extra money to spend, it would be a good upgrade.

No really though, if you are going to overclock you would be much better putting that $36 into a good heatsink or better ram or a better motherboard, you hit very similar speeds on the average overclock between the two, there is not extra cache on the e6400 so there is not advantage there.
