upgrade or not

I'm thinking about building a new computer or upgrading the one I have. I have a compaq d310 with a 2.4ghz p4 with 533 fsb. The motherboard on the compaq can only accept pc2100 memory and it is agp 4x with a 220 watt power supply. I was thinking about using the same processor and just upgrading the motherboard case and power supply. Or just selling the whole compaq and buying an amd 64 2800+, and starting a system with that. But maybe the p4 with a agp 8x motherboard and pc3200 memory can hold up for another year while the amd 64 cpus prices drop. thanks ahead for any help.

What are you wanting to do with this computer?

That is the question to determine what you need for hardware.

I'd say upgrade for now if you need to, but my computer now has about the same specs as yours, and I'm planning on selling it and building a whole new one in the next couple months. It's a personal preference, but think of it this way, if you wait for the current top of the line processors to come down in price, you'll just have to deal with the fact that they wont be top of the line any more. Anyway, if you wait I don't necessarily think it'll help you that much.

I mostly use it to play games. That's why I was thinking about upgrading to a new system. My last system was a amd xp 2600 with 512mb of ram and a gainward gf4 4800. I like that a whole lot better than my compaq. I think I'll sell the compaq on ebay and just start a new 64 bit system. So does anyone have any suggestions on any mobo or chipsets to go with. I had my eye on a EPoX "EP-8KDA3J" nForce3 motherboard.
