    The X58 chipset does not limit 64-bit operating systems. The reason Gigabyte might say that is because they have no x64 drivers or their Windows OC program only supports 32-bit. And you really do not need either of those.

    That's a tough call, but I would go with the X4 940, slightly higher clock and an extra core. But if your budget says no then go with the X3. Maybe you could save the money by going with a lower CPU and put that money elsewhere to improve another component.
