Freezing Issues

I just rebuilt my computer and kept a couple of things that were already working from my previous build and now i'm having troubles with random freezes and definite freezes if i try to convert any video file to divx... I'm running windows vista

Parts I kept from previous build:
Lite-on dvdrom drive
400w AGI pwr supply
Sapphire 3850 pci-e

I flashed the bios and the "bad checksum" and time and date errors went away.

New parts:

Steps already taken to try and solve the freezing:

Unplugging cdrom
Plugging harddrive into different sata port
Removing one stick of ram and testing for stability
Running windows memory diagnostic
The northbridge heatsink seemed very hot so i placed a fan on my case that blows air right on to it.
Monitored cpu temp with core temp (highest temperature was 39C) so i dont think this is a heat issue
Re-flashed bios, reformatted my hard drive and installed a clean vista

Any suggestions on what to try next? I'm going nuts here.
