I knw its a memory issue.. But seems smthing else.. Ram are inserted nicely....

Your motherboard might not support that CPU.
Back in the days of Socket 775, i bought a Pentium D to replace my Pentium 4. Didn't work. Wasn't supported even though it fit the socket.
Check if you are running the latest bios. If not, see if the newer one says something about added support for Core 2 Quad.

Seems the Q6600 isn't compatible with it. Here is the list of compatible cpu's.

Bios update... Hm...
Can u take ur time and give me the link for it.. Trust me i donno anything abt these bios things... Give me link... I will dwnld and give it to the local comp store for doing all bios update etc.. And see if its working or not...
