2.4ghz = 2.8ghz ?

i had a Intel Pentium 2.8Ghz 533Mhz Cache 1MB 2 x 512 Ram (400mhz) Geforce 6600GT 128MB DDR3 .. jsut wondering if i upgrade my intel pentium 2.4ghz 533mhz cache 512kb to my current graphic card n amount of ram .. will i still get the same performance when im gaming ?

Probably notice more difference if you upgraded the graphics card, can't see there being much improvement just upgrading the CPU by that much.
