32 to 64 cpu switch?????

Hi, I am currently running a Amd Sempron 3100+ (paris) Ocz to 2.1 Ghz. Since I am no longer able to further overclock this cpu (Requires higher Voltage, bios dosnt not support it) I was wondering if I were to switch from this 32 bit cpu to a 64 bit cpu, would i still be able to launch windows without reformatting???Is there a great deal in performance gain from 32 to 64??? If sooo, What recommendations do you have for me (socket 754). Thank You

you will need a 64bit os so see any performance

You can upgrade processors without needing to reinstall Windows, but you wont notice a difference just by moving to a 64-bit processor, even with a 64-bit OS (at least currently, the future will be different).
