56k modem not working

Hi,
my friend has an old AMD 450Mhz PC and recently he bought a new 56k Acer modem, to use for Internet surfing. However, the modem won't dial and connect when installed on a win 98 platform. (with the CD)
I upgraded to windows xp and it still won't work. When I try to install the drivers, the PC freezes and I have to restart it by pushing the button on the case.
Does that mean the computer is incompatible with this modem, or the modem is faulty? It is new, so it should work.
I tried to swap the PCI slot, but that doesn't help..
Any suggestions? Thanks

i was working on a pc with a similar problem a few days ago, try moving the modem to a pci slot closer to the end of the board.
 
I tried, and the same thing happened.
After the restart, the modem is recognised as a generic softk 56 modem and just before the driver installation is completed, the PC freezes.
It just won't work...
