This process keeps popping up and its wreaking havoc on my system, I cannot find its source.. my avg and spybot are not picking it up

if i stop it when it pops up then its fine for 1 minutes, then it tries to activate again..
if i let it run for 1 minute or more and try to delete the process.. access is denied!
