atalon ii x2 240 regor vs athalon ii x3. 450 rana

My current setup has an amd athalon ii x2 240 regor 65 w with gigabyte mobo and ddr2 memory. How much difference will I see if I upgrade to an amd athalon ii x3 450 rana 3.2 ghz 95w with new mobo and ddr3 memory?
 
I dont think enough to justify the cost, the only reson would be for at least a phenom ii x4 or fx6100 or better.

What exactly is this for

Ok so I was looking at ways to upgrade and keep my same motherboard just because Im broke. My current cpu is a amd athalonii x2 240 regor. with 2gb ddr2 memory and a cheep xpower 585 psu. I am upgrading to a 6670 card from my 4350. If i upgrad the cpu to the one listed will I see a big difference. I used the psu calculator on new agg and it tells me 361 watts so I now it will be more than my current cpu

just in terms of threads you will see alot more performance, but asap id get that psu swapped out regardless of what the calculator says.
