Boot loop

Hey all, my HTPC's motherboard is acting up. When I start it, it boot loops at the beginning before seeing windows. My remedy is to take one stick of RAM out, and then it'll boot. After a few boots, it does it again. So I stick the RAM back in, and it boots fine. After a while, same thing, over and over.

Specs:
MSI 975x Platinum (LINK)
Intel E2200
4GB RAM
430w Antec PSU
Asus 5450

What I've done:
Ran memtest on each stick of RAM in each motherboard slot. No difference.
Tried using only one channel, same thing.
Took apart system, put it back in.
Reset CMOS
Made sure motherboard is grounded.

Nothing helps. Next option is to update the BIOS, but for the life of me, I can't get it updated.
I tried LiveUpdate 5, MSI's utility, but it says the BIOS is up to date, even though speccy says it is not.

(On the website, newest BIOS is F8 and was released 11-3-08)
Manually updating it requires a floppy drive, which I do not have.
Please help!
 
Since no responses yet. Boot to safe mode options and arrow down to where it says disable automatic restart on system failure and hit enter. Instead of restarting, it should stop and give you a blue screen code. Give me the information on the screen. Hopefully it will give you a file name and not just a code.

I'm pretty sure it's not a blue screen, since this happens at Bios. It'll show the mobo and CPU info, but before it shows the RAM and hard drive info, it restarts. I'll try doing that, though.
Is the memory meant to run at 1.8V? Check it.

Reset the CMOS.

Update the BIOS.

Doesn't say the voltage, but most DDR2-800 runs around there.

I have reset the CMOS and cannot figure out how to update the BIOS, as it says in my original post.
 
Well PQI claims the memory is 1.8V. But it list two different timing. 5-5-5-18 and 6-6-6-18. If its at 5-5-5, try 6-6-6.

Interesting, it's at 5-5-5-15. I'll go to 18 and see what happens.

Edit: The RAM was running at 667mhz, Changed to 800. Cannot go up to 18, 15 is the max it can do. Left that for now, will try 6-6-6-15 and see.
