Can I trade in a New Windows Vista Upgrade?

I purchased an unopened Windows Vista Home Basic 32-bit Upgrade from an acquaintance and would like to trade it for a Windows Vista installation disk. Would Microsoft be willing to work with me? I have no receipt and have no idea where this was purchased from.
