Do you think this Asus EAX1600XT SILENT (http://www.asus.com/products.aspx?l1=2&l2=8&l3=241&model=961&modelmenu=2)
will fit into MSI K9N Sli Platinum mobo (http://www.newegg.com/Product/Product.asp?Item=N82E16813130048) ?

And as for the RAM, assume I would use this kingston HyperX DDR2-800 (http://www.newegg.com/Product/Product.asp?Item=N82E16820134009).

Please notice the space between primary PCIe x16 and the DIMM slot. I'm worry about the crowded space.

I think the only space problem you may have is with your CPU cooler and that's only if you use a large cooler like a Zalman 7500 or something. If you look at the large picture, you can see the cooler on the card doesn't go much further than the lock tab and looking at the top view of your motherboard there appears to be enough space after the tab lock and the cooler is high enough that you shouldn't have any trouble putting RAM into the 1st slot.

I don't think I would use a large cooler, just the standard fan from AMD X2 3800+ instead. Is it necessary to add such cooling device ?

No, the stock one is fine unless you are trying to OC a lot.
