You more likely have a graphics card driver problem that just happens to be manifesting in that particular game.
 
it does work, i've been happily playing it all day. Download the latest drivers, update the game itself, make sure you have internet explorer installed (it actually needs it) make sure you have the latest .net framework.
 
+1 on what linkin says, but if you do get it working it probably won't be veryh good if it is the specs in your sig.

your CPU will have alot of work and you have probably not enough memory. To play it well you really need a high clocked dual core (which you have) or ideally, a tri or quad core CPU. system requirements are here:

my 2.8ghz dually is maxed out (both cores!) in gta4, memory usage is almost 70% (of 4gb)

It is really CPU intensive. hell, a Q6600 is in the recommended specs!
