Help Choosing a Mobo

I'm planning on buying a new mobo and cpu soon. The cpu will be an AMD64 3200+ or 3500+. I can spend up to $100 usd on the mobo alone, or a little more depending on how good it is. I don't want a PCI express x16 slot, instead I want an AGP 8x to use my current video card. Overclocking capabilites would be nice. Will I need anything besides the cpu and mobo? For example Arctic Silver. If so, which one is the one I should be using? And should I buy an OEM cpu and get another fan/hs for it?

Yeah so get the above, its got good overlocking capabilities and you can upgrade to PCI-E and socket M2 when it comes down the road.
