when i put it all together and tried to install xp pro it goes well untill its finished loading the files then reboots and i get the set up screen saying 35minutes remaining then i get a physical dump screen.
all the components are new and in sealed boxes.
anyone any ideas??

What stop error is it?

jost blue screen/ white writing!
windows had to stop, to save damage etc etc
check hardware and software
this might be a silly question but im asking anyway
it says 64 on the processor box, is this a 64bit chip and do i need windows 64 edition for it as i trying my normal xp

No, 64-bit can handle 32-bit operating. I think the only CPU that can't is the Itanium CPUs, I think

how would he test the mem if he cant load windows
With the memtest bootable cd.
jost blue screen/ white writing!
There should be some numbers on there like STOP 0x000000C5 (0x000000, 0x00000000, 0x00000000, 0x000000). Those numbers will help us understand what's happening. To be honest I think it's a RAM problem as well but it's nice to be sure.

problem solved! took memory back got exchange, everything seems ok
just one more thing
processor according to box says "AMS 64 SEMPRON 3000+"
in control panel/system says "AMD sempro (tm)processor
3000+
1.8ghz 256mb of ram
physical address extension"
1= whats the 1.8 ghz ive been told thats the speed of the processor:(

Yes a 754 Sempron 64 3000 is 1.8ghz.. I just sold a 754 DFI system with a Sempron 64 2800. Got the 2800 because it has 256k of L2. But is shows up as just a Sempron in the control panel. As long as the model number ends in BX its 64 bit!
