How do I upgrade - Sequence, Hardware, Software

I built my PC and wanted to do some upgrading. I want to upgrade the motherboard with RAM. Here are some issues that I've run into:

-I have tried the out of box experience under windows32, but have run into the fatal error. I have not located the process that I need to end before running this OOBE.
-I don't mind reinstalling windows, but I would like to clean (custom) install.
-If I did do the custom install, I would want update to the new windows, because I have availability to discounted software. The problem is, the discounted software is all downloadable.

There is an option of ordering a backup CD, but I would have to wait for delivery. What is the right sequence of upgrading my computer?

I run Windows 7 OS, 1.5 TB hard drive (200 GB in use), no external memory besides 32 GB flash drive.

I'm not sure what you are asking here. If all you want to do is upgrade memory then just add more memory. Can you list your system specs?
 
I would like to put in a new motherboard, but if I do that then my windows OS has issues registering it is on the correct computer. With the new motherboard, I am upgrading the RAM as well. I figured, since I was doing this, if necessary I would custom install Windows and/or upgrade Windows. I just don't want to lose the copy of windows I bought.

System specs:
Motherboard - BIOSTAR TA880GU3+
CPU - AMD Athelon II Processor
OS - Windows 7-64 Bit
PS - Hive
Monitor - Hanns-G
RAM - 4GB

New motherboard - ASROCK 990FX Killer
New Ram - 8 GB
 
If its the retail version of windows then you would have no problem reactivating it. If its the OEM version then you would just have to call microsoft and see if they will activate for you since the automatic activation probably won't work.
