Hows this setup?

Im going to replace an old msi k8n, xt4200+, 1gb corsair, geforce 6800 agp. I want to rock DX10. How does this setup sound? any comments suggestions, alternates? I am going to replace near xmas.

ABIT IP35 only $130 on newegg... Where are you buying from?
And within this price range, I will rather choose MSI P35 Platinum instead.
By the way, it looks ok to me. but I doubt if you really need 4GB RAM
