just started poping up.. Only sometimes. its when I close IE

By any chance is the Yahoo Toolbar installed in Internet Explorer on the PC you are having this trouble with?

yes, or at least try it un-installed temporarily, judging by certain google results and other forums, this error message is sometimes prompted by yahoo components holding onto IE's memory allocations on shutdown, which causes IE to crap itself in the fashion displayed here
