Installing a New XP Pro over a Old XP Pro

Hello and yes I am new. I was unsure how to word this question so I did not use the search. I am running a copy of XP Pro SP2 on my computer, but it will not activate.. You can guess why... I have a New XP Pro and I would like to install it over the other one. My question is how should I do it? I do not want to lose any info on my computer. I do not want to reformat the HD... Can I just install the new XP using the repair option and if so will it let me activate the new copy? Thank you
 
Thanks, if I do a dual boot will I lose all the files on my hard drive? Why would i need to use a dual boot... I just want to use the new XP pro so I can activate it and get all the updates and defender.
