Installing OS problems

First time poster so sorry if i am breaking any forum rules or if this is in the wrong place.

I Just finished building my own computer! the specs are as follows:

CPU: AMD FX-6300 3.5GHz 6-Core Processor
Motherboard: ASRock 970DE3/U3S3 ATX AM3+ Motherboard
Memory: Corsair Vengeance 8GB (2 x 4GB) DDR3-1600 Memory
Storage: Seagate Barracuda 1TB 3.5" 7200RPM Internal Hard Drive
Video Card: Sapphire Radeon HD 7850 1GB Video Card
Wireless Network Adapter: Asus USB-N10 802.11b/g/n USB 2.0 Wi-Fi Adapter
Case: Rosewill REDBONE ATX Mid Tower Case
Power Supply: Rosewill Hive 650W 80 PLUS Bronze Certified ATX12V / EPS12V Power Supply
Optical Drive: Asus DRW-24B1ST/BLK/B/AS DVD/CD Writer

I am having trouble installing an operating system now. I have a Windows 7 upgrade disk, so I need to install another OS first. I have an XP disk, and my computer is booting from the disk drive. When I insert the disk and reboot, it goes to a blue screen with a grey bar on the bottom listing what the computer is currently installing. I get to the "Windows is starting" message and then i get the BSOD saying there may be a problem with the hard drive, and I should remove any new hardware and blah blah I am sure you are all familiar with it. At the bottom it says "Technical information; ***STOP: 0X0000007B (0XF78D663C, 0XC0000034, 0X00000000, 0X00000000)"

I wiped the hard drive and still had the same problem. Anyone have any suggestions to try? Thanks
 
Download Memtest86, burn it to a CD, boot of it and then leave it for a couple of hours whilst it checks your RAM.

You might also want to check your HDD too.

So yeah, I think the problem is probably cased by either a bad hard drive, or bad RAM sticks.
 
Can i install windows 7 from an upgrade disk without having an Os already installed? I am using a student upgrade disk that says
"Microsoft windows 7 Ultimate
64-bit x64 Upgrade: Pre-existing OS license required"
 
Ok I put a new hard drive in and still nothing. So far I have checked ram, hdd, and switched various cables and plugged things in to different ports. Still nothing. I can not use the upgrade disk because it says my product key is invalid due to not having internet connectivity to validate the product key. Now what?

Use the option to call the Microsoft robot and activate Windows.

Also install your ethernet driver.

How new is this MB, is it a UEFI board. I had a similar problem with a friend's build. My friend's MB was a ASUS M5A97 R2.0. I was trying to put Windows 8 Pro x64 upgrade on his computer. Didn't work, so he bought the regular OEM version. Didn't work then either. It kept coming up with this GPT error. I had to look that one up. Found out that if the MB is UEFI, it is most likely to have that format. So, I tried a different route. I re-partitioned the HD and left it UN-formatted, the Windows loaded all the way then. Because of this GPT format.

Did you follow the instructions in the tutorial linked to above? You need to install WITHOUT using auto activation. Once installed, then you can go back and activate.
 
You have 8 GB of ram, so I am assuming your XP OS is also a 64 bit, if not this is most likely your issue.
