Is it worth it?

Ok, I'm thinking about upgrading my motherboard and getting an E6300. Do you guys think this is a wise decision? I've had my computer in my signature for a little under two months as you may or may not know. Should I, and will it be worth the extra $150-ish dollars. I plan on selling my processor and motherboard on eBay, if I decide to upgrade.
 
Did you overclock your processor more than 2.8Ghz? Is there a wall there? I know that many people have probably told you this, but I think you could easily get it around 3.5 or so no probem.

EDIT:
I forget where it was, but I heard there was a new Intel processor coming out (T4400 or something like that) in the $130 and under category with a lower FSB and higher multiplier (Like the 805) than the Core 2 Duo series . If that indead was true, it would be well worth waiting for it.

I can't get past 3ghz with the CPU and that is what it is at now, but back on subject please.

Well, you got to ask yourself, is the extra speed worth it? I personally don't think so. You have the 805, 7600GS and 1gb of ram, right? At this point, I would upgrade your video card and add some ram, but thats just what I would do. I never noticed a difference between my sempron 2300+ and my A64 3500+ unless in games. Its all up to you however, but i dont think it is.

His CPU is somewhat of a bottleneck in single threaded games, since it's like just having a P4 2.66Ghz CPU. The upgrade to an E6300 will provide significant improvement FPS wise in games.
