I have a AMD athalon XP 3200+ and i wanted to go from a ATi x800xt 256mb all-in-wonder to a Radeon X1950PRO 512MB and I was wondering whether this upgrade would have any improvements in playing games like COD4 and Crysis or would my processor just limit it and waste my money?

Well, your options are to try an upgraded CPU or Build a new PC (basically). A better video card will help, but you would be investing in a pretty much dead technology (AGP). Depending on you PSU/Case/Hdd, you could keep some of those. More than likely you would need new Ram, CPU, and MB.

This is the quandary facing all AGP owners.
