Is this a MOBO, RAM, or Win 7 problem?

MOBO: Asus M4a78t-e
Ram: Mushkin Blackline 1600 ddr3 2 gb X4

Win 7 64bit home sarted crashing left and right, freezing up so often that I could barley have time to tinker with software stuff. Reinstalled win 7 completely(took several attempts as it kept crashing in the middle of installation). Still crashed constantly.
I started removing mem stick 1 at a time. After removing 1, the crashes still occurred frequently but not as often. Removed a second mem stick and crashes slowed down to only when computer idles for a while and very seldom at random(these occur if win 7 is in normal or safe mode). Been using the computer as that for now, don't wanna remove another mem stick cuz that would only leave me with 2gb ram on a 64 bit OS. Ran MEMtest with all four sticks installed and no failures or problems. reinstalled Win 7 yet again(reformat and install)but without failure.
Now onboard LAN card was no longer detected at all even after downloading latest drivers for it. Like it's not even there. Bought a new LAN card for cheap and it works fine.
Also now(since lat win 7 reinstall) when I put it into sleep it immediately wakes right back up, and if I hold the power button down to power it off it immediately powers itself right up, the only way to shut my computer down is by "start menu/shutdown". Did all the suggested power saving changes and even unplugged all USB devices, but still does this. Also changed it to not let my network wake it up.

I have all windows updates, driver updates, and BIOS updates, nothing is overclocked except RAM set to 1600. I spent $1800 on a PC build that worked perfect for about 1 week, then freezing, LAN card disappears, no sleep mode, and only can use 2 of my 4 mem sticks for it to even be stable enough to function for any kind of time. I'm thinking MOBO because of the number and type of issues, what do you guys think?

I'm not trying to be flippant with this question, but you did install the standoffs for the motherboard when you put it in the case, correct? Just curious because having the motherboard in there without proper separation from the case can cause all sorts of circuitry issues. If you did install it properly, then I would definitely agree that it's the motherboard freaking out to some degree.

Yes sir. Although this is my first build, I did correctly install all hardware.
