motherboard for dual core upgrade

I am going to upgrade my daughter's pc, but should get some info before, so I don't get 'upsold'.
She is running an AMD Athlon 64-3200 s939, 1 mb RAM, on a MISI K8N -SLI Neo2 board.
My question is, to upgrade the proccessor to something like an Athlon dual core 4200-939, do I have to change the board ?
Also what is this AM2 chip and does it require an AM2 board?
Things are moving tooooo fast for this ole boomer.
Any advise is appreciated.
