Motherboard Upgrade

I have an Intel D102GGC2 Motherboard with a maximum Ram Capacity of 2gb, tried 4gb and it would accept it. What I am looking to do is upgrade my motherboard and I am looking for suggestions. I want mico ATX form factor so I dont have to replace my case. The motherboard also has a LGA 775 CPU socket and Pentium D 805 processor. I am looking to upgrade the Motherboard to a SATA motherboard with at least 4gb of ram capability and I am going to upgrade my processor as well. Any suggestions on what would be a good setup with out breaking the bank?

Also I need a PCI-E 2.0 slot for my video card. Somebody told me a PCI-E 16x slot would accept my video card, is this true? Any help would be appreciated.
