probably not, you will need to reinstall windows. unless the motherboard is VERY similar but then that wouldn't be much of an upgrade would it. The cpu would be ok it is just the mobo that it causes that to not work.
i believe it has to do with drivers, that is why a similar mobo will work.

In that case you would still almost certainly need to format due to driver conflicts like mentioned before, but you should be good with your current version of Windows, as retail can be used on as many computers as you want, provided it is only installed on 1 at a time (or however many your liscence permits)

Are you sure about that? I have upgraded my processor and mobo on my gaming computer with no hard drive confictes what so ever. I have done this a few times with the same hard drive. Never once did I have a problem booting Windows.
I'd be willing to bet that when you upgrade your mobo and processor, that Windows will start up without a hitch. No need to format. Past experience tells me so.
Not saying it wont work. Alot of times windows will blue screen on boot because of motherboard driver conflicts. Less of a chance if you uninstall the old boards drivers. Why not uninstall the old board drivers if it improves the chance. Unless you have come kind of special relationship with them.
