Need Help With Build

I have 3 parts and I'm just wondering if they fit together. I'm pretty sure they do just want clarification:

The PSU I have is a 300 watt but I want to upgrade my dad doesn't seem to understand. The harddrive has Windows XP on it just 160GB don't need anything big. I was also wondering is the Video Card compatible with the processor.
 
The parts are compatiable, however I am sorry to break this to you but that PSU will be insufficient for that graphics card and you will in all likelyhood need a new copy of windows as you are changing the motherboard. You will definitely need to reinstall windows.
 
You need a minimum of 600w, like what linux said. 650w are the most common. If you skimp on the PSU, it could fail and take your entire system with it. And don't get a cheap brand. Antec, corsair, silverstone, seasonic, PC power and cooling are good brands. XP will work fine, but they are going to stop support on it soon, so you might want to consider upgrading.
 
I've never heard of iCan so I'm gonna say no. Coolmax is all right, but I would stick to the list I gave. You're gonna have to spend upwards of $70-100 USD on it. It's something you just can't buy cheap.
