Oem?

Original Equipment Manufacturer. that means it is not in its retail box. so ur package would only include the product itself and probably and instruction manual.
Retail on the other hand is exactly what you would find in stores, with the retail box, manuals, cables, the product, and w/e else they have in there.
 
Also, products marked as OEM such as on some windows CD's are ment to only be sold combined with a new computer system.

BTW.. if you purchase a computer and it comes with a Windows OEM CD(installed) and you deside to delete windows from the computer and install it on a different PC instead...when you ring up for the activation key the second time and tell them what you are doing, Microsoft will not give you a new Unlock key, as you are not installing it on the original PC it was supplied with.
