will an opteron 165 dual core cpu be compatible with an AM2 mobo or is a 939 mobo needed?

I believe You need an 939 Mobo, if the 165 is 940 it still will not work with a AM2 socket as the pin layout is different.

agreed.
maybe they'll make an opteron for socket AM2 but it took awhile for even 939 opterons to come out. i guess we shall wait and see.
amd has a product comparison thing on their site so you can just check that every week or two to make sure if theres an opty for AM2.
