Overclocking failed error. Athlon 64

I'm getting this error on bootup.

Last night, I put everthing together (new CPU and motherboard, Asus A8R-MVP), and got it working. I was downloading/installing WinXP service pack2, kept the computer on and went to bed. Got an error message on the install and had to do a reboot in the morning.
On the initial bootup before the OS, I get an error message 'Overclocking failed. Please enter setup to re-configure your system'.
If I try to boot, the Win XP load page comes on, but after 5 seconds it reboots.
CPU is AMD Athlon 64 3500+ ClawHammer

I have all the default settings (I'm not trying to overclock), then i tried lowering the CPU clock speed, and other speeds. Nothing changed.
My guess is the CPU is bad after the burnin. CPU temp was at 103-107F

Would this have to do with anything other than the CPU or motherboard? Should I even try changing memory, or try to boot from windows CD and reinstall HD?

Can anyone help?
I'm about to buy a new CPU and stick it in. It's the only thing I can think of. Any other ideas of what to try?

It has nothing to do with the CPU, the problem is with the motherboard. 103-107F is perfectly fine for a CPU.

Go to the Asus website and search for your motherboard. Then go to the download section and download the BIOS flash utility and the latest BIOS.
