Overheating possibly?

I'm relatively new to all this business, so I honestly have no idea what the deal is. This is the first computer I've built. I recently purchased a PCChips motherboard, which I in turn fried by being dumb with it the first time. I then bought a Gigabyte GA-8I865-775-PH which I installed and linked everything up. There's a Intel Celeron D processor (3.33 Ghz) on that. I've got a 450 watt power supply and an HP 40 gig HD which has things previously installed on it. If I need to post more info I will but on to the problem. The system will boot and I can alter the BIOS and it will attempt to start Windows 98 (which was apparently what was installed before) but after about 3 minutes or so it will randomly shut down and I have to restart. Upon trying my hard drive from my old Sony which had XP on it, the system shut down about every minute or so and rebooted.

Very frustrated. Any help is great.

Have You Made Sure The Heatsink Is On Properly ? Tighten Those Screws Because I Believe it is An Overheating Issue As I Had The Same Problem. And Also Did You Put Enough Thermal Paste To Cover The Cpu Chip. Should Be About A Rice Grain Size.

You have to reinstall the OS once you change the motherboard. Not doing so will make it very very unstable if not unusable. And Hsv_Man, PLEASE do not capitalize the first letter of each word.

There were 2 issues that it could have been sometimes you can get away without having to re install windows in this case u will have to. Also if you can i suggest going out and buying windows xp home or pro as these Operating Systems are more stable than any of its previous versions btw whats your new computers specs.

Intel 2.8 Ghz Pentium 4 Processor

Ati 9600 Pro 256mb Agp 8x

The thermal paste and tightening the screws seemed to work but I'm going to attempt to install XP and wipe the drive. I'll reply again if it doesn't work. Thanks a bunch guys!
