P4 641 problem

I just got the P4 641 3.2g and my motherboard says it can handle the processor but i installed it and the computer will start but the monitor just has an orange light on and nothing happens it doesnt even beep...can anyone help me out?

motherboard- mach speed matrix P4MBMS 775

check and make sure the cpu is place right and the heatsink is is all the way on

You have checked that the ATX12 is plugged in?
