A decent 600W should be fine for all that. If you wanted to leave a little room for upgrading down the road you might considering a little more wattage...
 
You would need aftermarket heatsink if you want to overclock the CPU. If you want to overclock, you'd better get the 5000 x2 or 6400 x2 Black edition. Or get intel set-up.

You can overclock fine with a stock heatsink. Although your overclocking is limited, that doesn't mean you can't do it at all. I OC'd a Celeron 420 from 1.6GHz to 2.13GHz with a stock Celeron 420 fan and stock Intel thermal compound.
