Processor upgrade and compatibility question

i recently got the urge to finally upgrade my computer because of how long it takes to launch and close applications on my 5 year old desktop. I am rather happy with the computer itself, other than that I would like to have just a bit more kick than it does. I mobo that i currently have is a dell computer corp. 02y832, for those techies for whom this might actually help, the chipset is Intel i865G

I was thinking of making a small investment of about 100 bucks into a 3.2 Ghz Hyper-threaded, 800fsb processor. I know that there is a Northwood and a Prescott, whose only difference is CacheL2 size, 512kb, and 1mb respectively.

mainly what i'm wondering is
A) will i have any problem with upgrading it, core structure/Cache wise.
B) perhaps what i need to look for in order to have a compatible processor.

Both will drop right in. Go for the Prescott.
Be sure to clean the old thermal paste off the heatsink and apply a new layer on the processor.
I don't think there will be any heat issues from re-using the original heatsink but you may notice the fan making a little more noise. The motherboard will spin the fan a little faster because of the difference in heat between the processors.
If the system starts shutting down when you lean on the processor, then you may want to replace the fan with a more powerful (higher RPM) unit.
 
yep, thanks a lot, i decided to go ahead with the Prescott as you said and i ordered a zalman cnps 7000 and a housing bracket to fit my mobo... appreciate the input..
