I have this motherboard K7MNF-64

will there be much of a performance gain going from my current CPU to that new CPU on XP. Also I will be going from 512mb to 1.5Gb DDR400.

To be honest, I don't think the upgrade would be worth it. Will you notice a difference? Perhaps a minor difference in some very intensive applications. Unless you really need the upgrade, I'd hold off and look into a major upgrade.
