suggestion on a new motherboard please?

Looks like i will need a new motherboard. Currently i have a Asus P5. I would like to stay with Asus because it has been a very reliable motherboard but that is not a must. I also would like 2.8Ghz or better.
I am looking for something up to date.
I like to:
-Video edit
-Picture editing
-download

Need something less than 200 bucks preferably.
What else do i need to know when changing a motherboard?
What about all the programs on my HD? I borrowed lots of discs off friends and i cannot obtain them again because my friend moved away. Currently the HD i have has windows xp sp3 but i heard that if you change your Mobo that you have to re-install windows!
Any input would be great.
Also i do not do any gaming just a lot of video editing and internet.

You're just looking to replace a bad motherboard,
or are you looking for a whole new build, or just new
board/cpu/ram?
 
I am looking to replace the motherboard and cpu. I have 2 gigs of ram looking to buy 2 more and i have a 300gb HD and i have dual 256MB NVIDIA Geforce 7600 GS cards, should i replace those while i am at it? Or are they good? I have not had problems with them.I would like to stay with asus but not limited to them.

Alright thank you. Can someone explain to me the pros and cons of these cpu's? I here core 2, centrino, AMD, Athlon and so on and its confusing.

The "Con" of sticking with an Intel setup, is that the LGA 775 socket will no longer be expanded on and no new CPU's will be developed for it.

So, by replacing your current hardware with the same socket, you're no
further ahead.

The "Pro" of switching to AMD at this point would be that for the same money,
you could get an AM2+/AM3 motherboard and a decent AM2+ dual or triple core cpu, and still be able to upgrade the cpu later to an AM3 Phenom II, which is the best AMD makes right now.

If you want to spend a bit more, get an AM3 mobo and some DDR3.
